1. Acceptance of Terms
1.1 The Agreement: This Terms of Service (the “Agreement”) is a legally binding contract between [TaskVendor Legal Name, e.g., TaskVendor Digital Sdn. Bhd.] (Company Registration No. [XXXXX-X]) with its registered address at [Your Registered Business Address in Malaysia] (“TaskVendor,” “we,” “us,” or “our”) and any person or entity who uses the TaskVendor website, mobile applications, and services (“Services”).
1.2 Acceptance: By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and the [TaskVendor Privacy Policy]. If you do not agree, you must immediately cease use of the Services.
1.3 Definitions:
- “Client” means any user utilizing the Services to hire Freelancers for tasks or projects (“Projects”).
- “Freelancer” means any user offering and providing services to Clients via the Services.
- “User” means a Client or a Freelancer, or both.
- “Platform” means the TaskVendor website and associated applications.
2. TaskVendor’s Role (Marketplace Only)
2.1 Limited Role: TaskVendor acts solely as an online marketplace and intermediary platform. We facilitate connections between Clients and Freelancers. 2.2 No Employment Relationship: TaskVendor is NOT the employer of any Freelancer. Freelancers are independent contractors. Users acknowledge and agree that TaskVendor has no control over: * The quality, safety, or legality of the services provided by Freelancers. * The truth or accuracy of Project listings or Freelancer profiles. * The payment terms agreed upon directly between the Client and the Freelancer (outside of the Platform’s escrow/payment mechanism). 2.3 Liability: TaskVendor is not responsible or liable for any breach of contract, non-performance, or dispute between Clients and Freelancers.
3. User Accounts and Eligibility
3.1 Eligibility: The Services are available only to individuals who are at least 18 years old and capable of forming legally binding contracts under Malaysian law. 3.2 Accurate Information: Users must provide accurate, complete, and current information during registration and keep this information updated. 3.3 Verification (KYC): TaskVendor reserves the right to validate User information at any time, including requiring formal Know-Your-Customer (KYC) documentation (e.g., identity cards, business registration documents) to comply with local regulations. 3.4 Security: Users are solely responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their account.
4. Client and Freelancer Agreements
4.1 Service Contract: Upon a Client accepting a Freelancer’s proposal, a direct contractual relationship (the “Service Contract”) is formed between the Client and the Freelancer. TaskVendor is not a party to this Service Contract. 4.2 Independent Contractor Status: Freelancers represent and warrant that they are operating as independent contractors and are not employees of TaskVendor or the Client. Freelancers are responsible for their own taxes (LHDN), SOCSO (if applicable), EPF (if applicable), and all other liabilities associated with being a self-employed professional in Malaysia. 4.3 Work Product Ownership (Intellectual Property): Unless otherwise explicitly stated in the Project details or the Service Contract, the Client is hereby assigned all right, title, and interest, including all Intellectual Property Rights, in and to the work product delivered by the Freelancer upon final payment.
5. Payment, Escrow, and Fees
5.1 Fees: TaskVendor charges a service fee to either the Client, the Freelancer, or both, as specified in the Platform’s fee schedule, for the use of the Platform and Services. These fees are subject to change upon notice. 5.2 Payment and Escrow: TaskVendor requires Clients to deposit the agreed-upon Project funds into a secure Escrow Account managed by TaskVendor or its designated payment processor before work begins. * Funds are released to the Freelancer only upon the Client’s explicit confirmation of satisfactory Project completion, or via the dispute resolution process (Section 6). 5.3 Non-Circumvention: Users agree to make all payments for work relating to a TaskVendor-sourced Project exclusively through the Platform. Any attempts to circumvent the Platform’s payment system to avoid fees are a breach of this Agreement and may result in account suspension or termination. 5.4 Taxes: Freelancers and Clients are solely responsible for calculating and paying all applicable local, state, and federal taxes, including the Malaysian Service Tax (SST) if their services qualify. TaskVendor is responsible only for taxes due on its own platform fees.
6. Dispute Resolution and Refunds
6.1 User Responsibility: All disputes regarding the quality, scope, or delivery of a Project must first be attempted to be resolved directly between the Client and the Freelancer. 6.2 TaskVendor Dispute Process: If direct resolution fails, either party may submit a formal dispute request to TaskVendor. 6.3 Final Decision: TaskVendor will act in good faith to facilitate a resolution based on the Project details, Service Contract, and evidence provided. TaskVendor’s decision regarding the release or refund of funds held in escrow shall be final and binding on both the Client and the Freelancer.
7. Prohibited Conduct
Users shall not use the Services to:
- Post or transmit any content that is illegal, defamatory, abusive, threatening, or violates any third party’s rights.
- Violate any applicable Malaysian law or regulation (including the PDPA, Communications and Multimedia Act 1998, and the upcoming Gig Workers Bill).
- Engage in fraud, illegal transactions, money laundering, or intellectual property infringement.
- Spam, transmit viruses, or engage in any conduct designed to disrupt the Platform or another User’s experience.
8. Termination
8.1 By User: Users may close their account at any time. Any pending escrow funds will be managed according to the dispute resolution process. 8.2 By TaskVendor: TaskVendor may suspend or terminate a User’s account immediately and without notice if the User breaches this Agreement, or if we are unable to verify the User’s information.
9. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Malaysia. Users irrevocably agree that the courts of Kuala Lumpur, Malaysia shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement.
